With over seven years of M&A and business development experience for several of the world's largest renewable energy companies, Kevin brings unique capabilities and market insights to the CleanCapital team. In 2013, Kevin was the recipient of the White House Champions of Change award for his leadership in the renewable energy industry.

Thomas Byrne

Thomas leads the strategy and operations, including investor growth and deal origination. He also serves as interim legal counsel. CleanCapital was born out of the inefficiencies that Thom witnessed while spending his career in clean energy finance. Prior to CleanCapital, Thom was a Partner and General Counsel at True Green Capital, a private equity firm focused on distributed solar investments.   • It looks like you started this business back in 2014, which is 3 years ago, what’s the story with the business?
    We incorporated CleanCapital in 2014 while developing our business model and beginning to pressure test our thesis. This was after Thom Byrne had refinanced his law school loans on SoFi.com and realized that there was a better way to address clean energy investing. From there we began to work on our concept, build the team then we raised our first round of financing in December 2015. Shortly thereafter, all founders joined full time in February 2016.
  • Can you detail specifically what your partnerships with Generate Capital, Bay4 Energy, John Hancock look like?
    •Generate has committed $35M of warehouse equity to make acquisitions of operating solar assets; this can be increased to $60M after we deploy the initial $35M. •Bay4 provides asset management services for CleanCapital. Bay4 has common ownership with CleanCapital, and provides asset management services on the clean energy assets. Sun Financial (our sSeedi investor ) also owns a majority of Bay4. •John Hancock was the lender on our first financing, and we are currently working with them to invest into our future offering.
  • Please explain the concept of HoldCo1 and HoldCo2 as well as what each HoldCo consists of today.
    •Each HoldCo is the special purpose LLC that owns all of the clean energy assets; debt and equity invests into at the Holdco level. •Holdco 1 acquired 14 solar assets, and was financed by John Hancock Insurance, Generate Capital, and over 30 equity investors. HoldCo 1 was closed at $21MM and is no longer making acquisitions. CleanCapital is managing the entity and is entitled to an ongoing fee of $50K/year. •Holdco 2 is currently acquiring assets ($17M to date) using the warehouse equity from Generate Capital. When we acquire more than $50M total – targeted in August – we will replace Generate with long term capital from both institutional and retail investors.
  • How are you guys set up from a regulatory perspective?
    We are currently positioned as the issuer managing several entities. We are currently at two entities today, and as a result, we are exempt from any registration today. Once we have build our business to include at least 5 entities, we will then have to become a registered investment advisor, which we do not see happening for the next 12 months.
  • Re: revenue streams, can you elaborate what capital do you plan on generating the debt spread on?
    You will notice that the debt spread does not begin until 2019. After refining our onboarding, algorithms, and underwriting, we plan to create a loan product to fund clean energy projects. We have seen a clear demand for it and see this as a logical growth opportunity when our resources and capabilities can support it.

    Making an Investment in CleanCapital
    How does investing work?

    When you complete your investment on SeedInvest, your money will be transferred to an escrow account where an independent escrow agent will watch over your investment until it is accepted by CleanCapital. Once CleanCapital accepts your investment, and certain regulatory procedures are completed, your money will be transferred from the escrow account to CleanCapital in exchange for your shares. At that point, you will be a proud owner in CleanCapital.


    What is the difference between preferred equity and a convertible note?

    Preferred equity is usually issued to outside investors and carries rights and conditions that are different from that of common stock. For example, preferred equity may include rights that prevent or minimize the effects of dilution or grants special privileges in situations when the company is sold.

    A convertible note is a unique form of debt that converts into equity, usually in conjunction with a future financing round. The investor effectively loans money to a startup with the expectation that they will receive equity in the company in the future at a discounted price per share when the company raises its next round of financing.

    What will I need to complete my investment?

    To make an investment, you will need the following information readily available:

    1. Personal information such as your current address and phone number
    2. Employment and employer information
    3. Net worth and income information
    4. Social Security Number or government-issued identification
    5. ABA bank routing number and checking account number (typically found on a personal check or bank statement)

    Because CleanCapital is offering its securities under Rule 506(c) of Regulation D, your status as an Accredited Investor will also need to be verified and you will be asked to provide documentation supporting your income, net worth, revenue, or net assets or a letter from a qualified advisor such as a Registered Investment Advisor, Registered Broker Dealer, Lawyer, or CPA.


    What if I change my mind about investing?

    Until a closing occurs, you may cancel your investment at any time, for any reason. You will receive an email when the closing occurs and your shares have been issued. If you have already funded your investment and your funds are in escrow, your funds will be promptly refunded to you upon cancellation. To cancel your investment, please go to your portfolio page.

    How can I sell my shares in the future?

    Currently there is no market or liquidity for these shares. Right now CleanCapital does not plan to list these shares on a national exchange or another secondary market. At some point CleanCapital may choose to do so, but until then you should plan to hold your investment for a significant period of time before a “liquidation event” occurs. A “liquidation event” is when CleanCapital either lists their shares on an exchange, is acquired, or goes bankrupt.
