Team Story

Neeraj and Varun met in 2012 while working on a product implementation for Apple. Later, Neeraj decided to run his IT services (recruitment/software development) company on a full-time basis. Neeraj was instrumental in winning clients and  projects whereas Varun excelled in software implementation and product development. Varun played a major role in establishing engineering and software development practices at Neeraj's previous venture, which is now a multi-million dollar business with several Fortune 500 clients in its portfolio.

Neeraj and Varun have served on interview panels at top IT companies in Silicon Valley. Q&A with the Founder

  • What are future revenue streams?
    Our current business model is Pay-Per-Hire. We intend to offer product subscriptions to our clients once we acquire critical mass. Additionally, we have plans to partner with online training portals & offer a discounted training course to job seekers on our marketplace. We will charge a commission for the training sessions subscribed to by the job seekers on our marketplace. Our platform is free for job seekers.
  • What is your other company Radiansys and its relations to CrediBLL?
    Radiansys is a vendor to CrediBLL that provides us software development services. We work with them for part-time/temporary hires now. CrediBLL has only just started generating raising revenues and I’ve moved 100% over to CrediBLL.   Radiansys is a separate business altogether – founded 10 years ago by me and my wife. They are not an equity partner; it’s just a simple side-by-side agreement and they have lent us significant startup costs that will partially be paid back (50%) in equity in the next financing round.   Almost all of the accounts payables are from Radiansys as all of CrediBLL’s bills/operating expenses have been paid by Radiansys up to this moment. We have placed 2-3 candidates sourced through Radiansys – provided them a certain fee, put a 10%-15% mark-up on what they charge. 10% to 30% of placements are from temp hires from Radiansys.
  • What are exit expectations?
    It's too early for an exit strategy. Our short-term goal is to make CrediBLL Series A ready with a high valuation and offer subscriptions to our client.

    Our current client list is the following: Square, Mulesoft, Rocketfuel, EverString, Vertical Response, Moveworks.ai, Tavant, EsenciaTech, Skael, Davinci, Grammarly, and Axon (formerly Taser International). We have ATS partnerships/integrations with Greenhouse, whose integration is nearly complete, and SmartRecruiters (in progress). It's safe to assume that monthly conversion/placements success rate is 20 - 30% of number of clients. Each FTE placement average ticket size is around $12K (assuming 10% of $120K base salary). Tech salaries are often higher than $120K.
  • What is on your product roadmap?
    Our SME (subject matter expert) product is in beta phase; we are planning to crowdsource our recruiters using people who have a full-time job – more like an Uber of recruitment – to interview/screen and mentor job seekers. Apart from tech screening, SMEs will also mentor the job seekers & help them to increase their market value better. Our SME model is an additional value proposition to our clients as they will get pre-screened job seekers. Product roadmap also includes extending the Machine Learning Algorithms implementation to enhance the system capabilities further. Significant work has been done to identify proprietary ML algorithms for next course of implementation.

    Financial Discussion

    Please see the financial information listed on the cover page of the Form C and attached to this profile in addition to the following information. Financial statements are attached to the Form C as Exhibit B.

    Operations

    The Company has a limited operating history and did not generate revenue from intended operations during 2016. The Company's business and operations are sensitive to general business and economic conditions in the U.S. and worldwide along with local, state, and federal governmental policy decisions. A host of factors beyond the Company's control could cause fluctuations in these conditions, including but not limited to: technological changes and technology usage behaviors, availability of qualified candidates, and significant competition from larger more well-funded companies. Adverse developments in these general business and economic conditions could have a material adverse effect on the Company's financial condition and the results of its operations.

    The Company will recognize revenues from services when (a) persuasive evidence that an agreement exists; (b) the service has been performed; (c) the prices are fixed and determinable and not subject to refund or adjustment; and (d) collection of the amounts due is reasonably assured. Revenue will be deferred when the above criteria has not been met.

    The Company develops and utilizes internally developed software. Costs incurred are accounted for under the provisions of ASC 350, Intangibles – Goodwill and Other, whereby direct costs related to development and enhancement of internal use software are capitalized, and costs related to maintenance are expensed as incurred. These software development costs are amortized over the estimated useful life of the software. There were no costs capitalized during the period ended December 31, 2016.

    Liquidity and Capital Resources

    The Offering proceeds are essential to our operations. We plan to use the proceeds as set forth above under “use of proceeds”, which is an indispensable element of our business strategy. The Offering proceeds will have a beneficial effect on our liquidity, as we currently have $25,116 in cash on hand as of December 31, 2016 which will be augmented by the Offering proceeds and used to execute our business strategy. We will add more team members in the sales & marketing team, add new product feature. We intend to go-live with our SME (Subject Matter Expert) model if we are successful in a full raise.

    The Company does not have any additional sources of capital other than the proceeds from the Offering.

    Capital Expenditures and Other Obligations

    The Company does not intend to make any material capital expenditures in the future.

    Material Changes and Other Information Trends and Uncertainties

    After reviewing the above discussion of the steps the Company intends to take, potential Purchasers should consider whether achievement of each step within the estimated time frame is realistic in their judgment.     Valuation

    As discussed in "Dilution" below, the valuation will determine the amount by which the investor’s stake is diluted immediately upon investment. An early-stage company typically sells its shares (or grants options over its shares) to its founders and early employees at a very low cash cost, because they are, in effect, putting their "sweat equity" into the Company. When the Company seeks cash investments from outside investors, like you, the new investors typically pay a much larger sum for their shares than the founders or earlier investors, which means that the cash value of your stake is immediately diluted because each share of the same type is worth the same amount, and you paid more for your shares (or the notes convertible into shares) than earlier investors did for theirs.

    There are several ways to value a company, and none of them is perfect and all of them involve a certain amount of guesswork. The same method can produce a different valuation if used by a different person.

    Liquidation Value - The amount for which the assets of the Company can be sold, minus the liabilities owed, e.g., the assets of a bakery include the cake mixers, ingredients, baking tins, etc. The liabilities of a bakery include the cost of rent or mortgage on the bakery. However, this value does not reflect the potential value of a business, e.g. the value of the secret recipe. The value for most startups lies in their potential, as many early stage companies do not have many assets (they probably need to raise funds through a securities offering in order to purchase some equipment).

    Book Value - This is based on analysis of the Company’s financial statements, usually looking at the Company’s balance sheet as prepared by its accountants. However, the balance sheet only looks at costs (i.e. what was paid for the asset), and does not consider whether the asset has increased in value over time. In addition, some intangible assets, such as patents, trademarks or trade names, are very valuable but are not usually represented at their market value on the balance sheet.

    Earnings Approach - This is based on what the investor will pay (the present value) for what the investor expects to obtain in the future (the future return), taking into account inflation, the lost opportunity to participate in other investments, the risk of not receiving the return. However, predictions of the future are uncertain and valuation of future returns is a best guess.

    Different methods of valuation produce a different answer as to what your investment is worth. Typically liquidation value and book value will produce a lower valuation than the earnings approach. However, the earnings approach is also most likely to be risky as it is based on many assumptions about the future, while the liquidation value and book value are much more conservative.

    Future investors (including people seeking to acquire the Company) may value the Company differently. They may use a different valuation method, or different assumptions about the Company’s business and its market. Different valuations may mean that the value assigned to your investment changes. It frequently happens that when a large institutional investor such as a venture capitalist makes an investment in a company, it values the Company at a lower price than the initial investors did. If this happens, the value of the investment will go down.

    Market Landscape

    Our current business model is success-based fees. We charge 10% of base salary for any full time hire made on our marketplace. Similarly, we are keeping a 15% markup on temporary technology workers identified on the marketplace. Our marketplace will always be free for the candidates.

    We will be offering flexible pay-per-hire & subscription models in near future.

    CrediBLL also has plans to tie-up with training portals and get commissions for the courses/online training subscribed by the applicant on the marketplace. Our SMEs & smart machine learning algorithm will identify the skill gaps in the candidate's profile and offer discounted online courses from our partner portals.

    Our main competitor has raised over $100M in funding to date.

    We are targeting the $500 billion global recruitment market - the US recruitment market size alone is $200 billion. The recruitment market is growing 6% annually. Around 5 million workers switch jobs every year and over 50,000 tech jobs are open at any given time. There are 9 recruitment companies with over $1 billion in annual revenue and several technology recruitment companies have over $100 million in annual revenue.

    Risks and Disclosures

    The development and commercialization of our products/services is highly competitive. We face competition with respect to any products that we may seek to develop or commercialize in the future. Our competitors include major companies worldwide. Many of our competitors have significantly greater financial, technical and human resources than we have and superior expertise in research and development and marketing approved products/services and thus may be better equipped than us to develop and commercialize products/services. These competitors also compete with us in recruiting and retaining qualified personnel and acquiring technologies. Smaller or early stage companies may also prove to be significant competitors, particularly through collaborative arrangements with large and established companies. Accordingly, our competitors may commercialize products more rapidly or effectively than we are able to, which would adversely affect our competitive position, the likelihood that our products/services will achieve initial market acceptance and our ability to generate meaningful additional revenues from our products. Our main competitor has raised over $100M in funding to date.

    We depend on third-party service providers and outsource providers for a variety of services and we outsource a number of our non-core functions and operations. In certain instances, we rely on single or limited service providers and outsourcing vendors because the relationship is advantageous due to quality, price, or lack of alternative sources. If production or service was interrupted and we were not able to find alternate third-party providers, we could experience disruptions in manufacturing and operations including product shortages, higher freight costs and re-engineering costs. If outsourcing services are interrupted or not performed or the performance is poor, this could impact our ability to process, record and report transactions with our customers and other constituents. Such interruptions in the provision of supplies and/or services could result in our inability to meet customer demand, damage our reputation and customer relationships and adversely affect our business.

Demand for these professionals tends to be tied to economic and business cycles. Increases in the unemployment rate, specifically in the technology and other vertical industries we serve, cyclicality or an extended downturn in the economy could cause our revenues to decline. Therefore, our operating results, business and financial condition could be significantly harmed by an extended economic downturn or future downturns, especially in regions or industries where our operations are heavily concentrated. Further, we may face increased pricing pressures during such periods as customers seek to use lower cost or fee services, which may adversely affect our financial condition and results of operations.

    Failure to obtain new clients or renew client contracts on favorable terms could adversely affect results of operations. We may face pricing pressure in obtaining and retaining our clients. Our clients may be able to seek price reductions from us when they renew a contract, when a contract is extended, or when the client’s business has significant volume changes. They may also reduce services if they decide to move services in-house. On some occasions, this pricing pressure results in lower revenue from a client than we had anticipated based on our previous agreement with that client. This reduction in revenue could result in an adverse effect on our business and results of operations. Further, failure to renew client contracts on favorable terms could have an adverse effect on our business. Our contracts with clients generally run for several years and include liquidated damage provisions that provide for early termination fees.     What is Side by Side?

    A Side by Side offering refers to a deal that is raising capital under two offering types. This Side by Side offering is raising under Regulation CF and Rule 506(c) of Regulation D.


    What is a Form C?

    The Form C is a document the company must file with the Securities and Exchange Commission (“SEC”) which includes basic information about the company and its offering and is a condition to making a Reg CF offering available to investors. It is important to note that the SEC does not review the Form C, and therefore is not recommending and/or approving any of the securities being offered.

    What is Rule 506(c) under Regulation D?

    Rule 506(c) under Regulation D is a type of offering with no limits on how much a company may raise.     What is Reg CF?

    Title III of the JOBS Act outlines Reg CF, a type of offering allowing private companies to raise up to $1 million from all Americans. Prior capital raising options limited private companies to raising money only from accredited investors, historically the wealthiest ~2% of Americans. Like a Kickstarter campaign, Reg CF allows companies to raise funds online from their early adopters and the crowd. However, instead of providing investors a reward such as a t-shirt or a card, investors receive shares, typically equity, in the startups they back.     Making an Investment in CrediBLL
    How does investing work?

    When you complete your investment on SeedInvest, your money will be transferred to an escrow account where an independent escrow agent will watch over your investment until it is accepted by CrediBLL. Once CrediBLL accepts your investment, and certain regulatory procedures are completed, your money will be transferred from the escrow account to CrediBLL in exchange for your shares. At that point, you will be a proud owner in CrediBLL.


    What will I need to complete my investment?

    To make an investment, you will need the following information readily available:

    1. Personal information such as your current address and phone number
    2. Employment and employer information
    3. Net worth and income information
    4. Social Security Number or government-issued identification
    5. ABA bank routing number and checking account number (typically found on a personal check or bank statement)

    If you are investing under Rule 506(c) of Regulation D, your status as an Accredited Investor will also need to be verified and you will be asked to provide documentation supporting your income, net worth, revenue, or net assets or a letter from a qualified advisor such as a Registered Investment Advisor, Registered Broker Dealer, Lawyer, or CPA.


    What is a Crowd Note?

    The Crowd Note is a security which allows crowd investors to largely realize the same economic benefit traditional investors have historically received when investing in startups. For a convertible note round, investors under $20,000 will have their investment convert into preferred equity at liquidity event, locking in a share price at a discount to the next priced round, and will have an interest rate on their investment. Investors investing $20,000 and over will convert into preferred equity at the subsequent priced round at a discount to that priced round and will have an interest rate on their investment. For a priced round, investors under $20,000 will have their investment convert into preferred equity at a liquidity event, locking in the share price of the current round.


    How much can I invest?

    An investor is limited in the amount that he or she may invest in a Reg CF offering during any 12-month period:

    • If either the annual income or the net worth of the investor is less than $100,000, the investor is limited to the greater of $2,000 or 5% of the lesser of his or her annual income or net worth.
    • If the annual income and net worth of the investor are both greater than $100,000, the investor is limited to 10% of the lesser of his or her annual income or net worth, to a maximum of $100,000.

    Separately, CrediBLL has set a minimum investment amount of US $500.

    Accredited investors investing $20,000 or over do not have investment limits.

    What is my ongoing relationship with the Issuer?

    You are a partial owner of the company, you do own shares after all! But more importantly, companies which have raised money via Regulation CF must file information with the SEC and post it on their websites on an annual basis. Receiving regular company updates is important to keep shareholders educated and informed about the progress of the company and their investment. This annual report includes information similar to a company’s initial Reg CF filing and key information that a company will want to share with its investors to foster a dynamic and healthy relationship.

    In certain circumstances a company may terminate its ongoing reporting requirement if:

    1. The company becomes a fully-reporting registrant with the SEC
    2. The company has filed at least one annual report, but has no more than 300 shareholders of record
    3. The company has filed at least three annual reports, and has no more than $10 million in assets
    4. The company or another party purchases or repurchases all the securities sold in reliance on Section 4(a)(6)
    5. The company ceases to do business

    However, regardless of whether a company has terminated its ongoing reporting requirement per SEC rules, SeedInvest works with all companies on its platform to ensure that investors are provided quarterly updates. These quarterly reports will include information such as: (i) quarterly net sales, (ii) quarterly change in cash and cash on hand, (iii) material updates on the business, (iv) fundraising updates (any plans for next round, current round status, etc.), and (v) any notable press and news.


    How can I sell my shares in the future?

    Currently there is no market or liquidity for these shares. Right now CrediBLL does not plan to list these shares on a national exchange or another secondary market. At some point CrediBLL may choose to do so, but until then you should plan to hold your investment for a significant period of time before a “liquidation event” occurs. A “liquidation event” is when CrediBLL either lists their shares on an exchange, is acquired, or goes bankrupt.
