In addition, enrolling in this program will not lead to diversification across your entire investment portfolio. Step 1

Submit your company for review

Enter your name and email address to create a user account on SeedInvest. We'll ask you about your Accredited Investor status for regulatory compliance purposes.

SeedInvest is vertical and stage agnostic. We’ve helped run successful raises for consumer product companies, as well as B2B SaaS, blockchain, clean tech, health tech, real estate, robotics, and more.

Generally speaking, we look for companies that have an MVP or prototype, at least two full-time employees (excluding founders), and a compelling business model.

We work with companies that are raising capital using Preferred Equity or Convertible Notes.

For priced rounds (preferred equity) you will need to provide the pre-money valuation. For convertible notes, you will need to provide the valuation cap, conversion discount, interest rate and term length. SeedInvest does not currently support any common equity offerings.

Step 2

Create your application

Your initial application will give us some basic information about your company and funding round so that we can assess whether you would be a good fit for the SeedInvest platform. This information is used by our Venture Team and Screening Committee to assess your application and decide whether or not to proceed with the due diligence process for Regulation D and A+ offerings.

You will need to provide background information about your company and your raise:

  1. Company name, location and vision
  2. Terms and traction of your current funding round
  3. Terms and information about prior financings
  4. Pitch deck and other key files presented to investors

You will need to fill in:

  1. Total round size
  2. Allocation that you would like to raise through SeedInvest
    For offerings under Regulation CF, the entirety of the offering must be made available through SeedInvest to comply with securities laws
  3. How much you already have committed from other investors
  4. Notable investors in the current round

Step 3

Speak with the SeedInvest team

Your application will go through an initial screening by the Venture Team to ensure that your company and fundraising terms a fit for SeedInvest. During this process, we will connect with your management team to discuss any follow-up items. Finally, your campaign will be presented to our Screening Committee.

More often than not, we request additional information regarding:

  1. Clarification of team, business, product and/or service, and market
  2. Business traction and milestones
  3. Fundraising details and progress
  4. Additional materials and/or backup that support statements made in the application

The screening committee will consider your value proposition, the problem you are solving, your competitive advantages, your team, potential market size, competition, and traction among other factors.

Step 4

Complete due diligence

For Regulation CF raises

SeedInvest does not conduct independent due diligence. We partner with Crowdcheck to conduct legal due diligence to review and verify the legal standing of your company. Crowdcheck will also help you file your Form C.

For Regulation D and Regulation A+ raises

SI Securities conducts in-depth due diligence on the business, team, product and/or service, market, and other key investment factors. This typically requires active back-and-forth between your management team and our venture team.

We also partner with Crowdcheck to conduct legal due diligence to review and verify the legal standing of your company. SeedInvest's venture team will send a questionnaire for you to fill out and start this process.

We will conduct in-depth due diligence on the business, team, product and/or service, market, and other key investment factors. This typically requires active back-and-forth between your management team and our venture team.

We partner with Crowdcheck to conduct legal due diligence to review and verify the legal standing of your company. SeedInvest's venture team will send a questionnaire for you to fill out and start this process.

Step 5

Launch your raise

You will populate your profile on SeedInvest with information about your company that will be presented to investors. You may also want to create other promotional materials such as a campaign video, blog posts and emails to your users. Be wary of the nuances between 506(b) and 506(c); failing to comply with general solicitation rules under the exemption you are raising your round could trigger punitive action from the SEC.

We will onboard your fundraise and setup the online offering. This includes verification of key management members, setup of investment agreements, establishment of escrows and entities appropriate to the agreed upon structure of the online raise, and identifying the recipient of the funds post-close. A member of the Venture Team will extend an invite to kick off this process.

As you build and optimize your SeedInvest profile, we will work with you and your legal counsel to help you understand marketing best practices and how to best promote an online raise based on your offering and particular needs. A critical component is helping you understand how to stay compliant with the current regulatory environment and put your best foot foward to investors.

Step 6

Close your round

We will work with you complete the final legal documentation and to transfer funds to your bank account. Issuers are charged the placement fee upon successful completion of the fundraise.
