About Zeel

Zeel delivers Massage On Demand® - top-quality massages from licensed, vetted massage therapists to homes, hotels, workplaces, and events in as little as an hour, or up to a month in advance. With Zeel, customers enjoy a massage in the comfort, convenience, safety, and privacy of the place and time of their choosing - 7 days a week, 365 days a year, with start times as early as 8 am and as late as 10:30 pm.

Booking, scheduling, and payment are all streamlined with the Zeel app for iPhone and Android.  Customers have the option to choose between Swedish, Deep Tissue, Prenatal, and Sports massages. All transactions are charged to a credit card on file, and pricing (inclusive of tax & tip) is standardized by market. Zeel therapists are fully vetted in person, licensed in their state of practice, insured (minimum of $1M), background-checked and trained by the Zeel team.

Zeel is available in the NYC Tri-State area, including Westchester, Long Island, Northern NJ and Fairfield County; Southern Florida, including Miami, Palm Beach and Tampa Bay; the San Francisco Bay Area; Chicago; Boston; and Southern California, including LA, San Diego and Palm Springs. Zeel plans to expand service areas to several other markets before the end of 2015.

Team Story

Zeel founder and CEO Samer Hamadeh had been interested in alternative wellness for some time, even while running and selling a previously successful startup. He decided in late 2010 that for his second venture he would make alternative wellness therapies like massage, acupuncture and yoga more accessible by facilitating online bookings with licensed practitioners. Over the next year, Samer and the Zeel team developed a deep expertise in alternative wellness, practitioner qualifications, customer service and safety protocols.

Zeel first launched in 2011. Almost immediately, Zeel was swamped by requests for massage – same-day and often within hours. Zeel also received many requests for in-home massage, at that time a difficult service to locate. But the massage industry simply wasn’t set up to give customers what they wanted - on-demand massage.

The best way to deliver on-demand massage would be to send massage therapists to customers where they were – in their homes, hotels, workplaces, or events. So the team drew on years of experience of talking and working with thousands of therapists to create Massage On Demand®. Zeel first started offering Massage On Demand in December 2012, in New York City, and launched the Zeel app for iPhone and Android in April 2013.

Making an Investment in Zeel
How does investing work?

When you complete your investment on SeedInvest, your money will be transferred to an escrow account where an independent escrow agent will watch over your investment until it is accepted by Zeel. Once Zeel accepts your investment, and certain regulatory procedures are completed, your money will be transferred from the escrow account to Zeel in exchange for your shares. At that point, you will be a proud owner in Zeel.

What is the difference between preferred equity and a convertible note?

Preferred equity is usually issued to outside investors and carries rights and conditions that are different from that of common stock. For example, preferred equity may include rights that prevent or minimize the effects of dilution or grants special privileges in situations when the company is sold.

A convertible note is a unique form of debt that converts into equity, usually in conjunction with a future financing round. The investor effectively loans money to a startup with the expectation that they will receive equity in the company in the future at a discounted price per share when the company raises its next round of financing.

What will I need to complete my investment?

To make an investment, you will need the following information readily available:

  1. Personal information such as your current address and phone number
  2. Employment and employer information
  3. Net worth and income information
  4. Social Security Number or government-issued identification
  5. ABA bank routing number and checking account number (typically found on a personal check or bank statement)

What if I change my mind about investing?

Until a closing occurs, you may cancel your investment at any time, for any reason. You will receive an email when the closing occurs and your shares have been issued. If you have already funded your investment and your funds are in escrow, your funds will be promptly refunded to you upon cancellation. To cancel your investment, please go to your portfolio page.

After My Investment
How can I sell my shares in the future?

Currently there is no market or liquidity for these shares. Right now Zeel does not plan to list these shares on a national exchange or another secondary market. At some point Zeel may choose to do so, but until then you should plan to hold your investment for a significant period of time before a “liquidation event” occurs. A “liquidation event” is when Zeel either lists their shares on an exchange, is acquired, or goes bankrupt.
